01Acceptance
By creating an Orderly account or otherwise using the Orderly platform (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you don't agree, don't use the Service.
We may update these Terms from time to time. Material changes will be announced via email and the dashboard at least 14 days before they take effect. Continued use after the effective date counts as acceptance of the updated Terms.
02Your account
You're responsible for everything that happens under your account, including any staff members you invite. Keep your password safe; don't share it. Notify us right away at security@orderlystores.com if you suspect unauthorized access.
You must be at least 18 years old (or the age of majority in your jurisdiction) and provide accurate information when registering. Accounts created with false information may be suspended or terminated.
03Acceptable use
You agree not to use Orderly to:
- Sell goods or services that are illegal where you operate.
- Infringe intellectual property rights — listing counterfeit goods, stolen content, or stolen photos.
- Defraud customers, including misrepresenting products, refusing to ship paid orders, or processing chargebacks in bad faith.
- Attempt to disrupt or reverse-engineer the Service, or gain unauthorized access to other accounts.
We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.
04Subscriptions and billing
Paid plans bill in advance for the period you select (monthly, quarterly, or annual). Subscription fees are non-refundable except as set out in our Refund Policy.
If a payment fails, we'll retry and notify you. After a 7-day grace period without successful payment, the storefront is hidden and the admin moves to read-only mode until you renew.
Prices may change. Existing subscribers will be notified at least 30 days before any price increase takes effect on their plan.
05Customer payments
Online card payments are processed by Paystack and subject to Paystack's own terms. Funds settle directly to the bank account you provide; Orderly never holds your money.
For direct bank-transfer orders, you confirm or reject each payment yourself in your dashboard. You are solely responsible for confirming receipt of those transfers and for any disputes that arise from them.
06Your content and data
You own the products, photos, copy, customer data, and other content you upload to your store. You grant Orderly a limited, non-exclusive license to host, display, and process that content solely for the purpose of operating the Service.
You can export your orders and customer data to CSV at any time, and delete your account whenever you want. Deletion is permanent — we cannot recover deleted accounts.
07Termination
You may cancel at any time from your subscription page. Cancellation takes effect at the end of your current paid period; we don't prorate or refund the unused portion.
We may suspend or terminate your account immediately if you breach these Terms, or with 30 days' notice for any other reason. On termination, you have 30 days to export your data; after that we may delete it.
08Disclaimers and liability
The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Orderly is not liable for indirect, incidental, special, or consequential damages, including lost sales, lost data, or business interruption.
Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months preceding the claim.
09Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Lagos State.
